Terms and conditions – Ubicharge Ltd t/a eStation
These Terms and Conditions (“Terms”) govern the sale, delivery, installation, maintenance, and use of hardware, software, and related services by Ubicharge ltd t/a eStation (“eStation”, “we”, “our”, or “us”) to the customer (“you”, “your”, or “Client”). By purchasing from us, using our services, or accessing our software, you agree to these Terms
1. Scope
These Terms apply to:
• The purchase of EV charging hardware and accessories (“Products”);
• Access and use of our software services, platforms, and apps (“Software”);
• Any services provided by eStation, including installation, technical support, and planned preventative maintenance (“Services”).
These Terms apply to all transactions unless a separate written contract is signed by both parties. Any conflicting terms proposed by you are hereby rejected unless agreed in writing.
2. Orders & Acceptance
• Orders must be submitted via our website, email, or authorized eStation representative.
• Orders are subject to acceptance by eStation in writing or via electronic confirmation.
• We may decline orders at our discretion without liability.
• Verbal orders or modifications are not binding unless confirmed in writing.
3. Pricing & Payment
• All prices are in Euro (€) and are exclusive of VAT unless otherwise stated.
• Payment is due upfront for retail customers unless otherwise agreed. B2B clients may be eligible for 30-day payment terms subject to approval.
• Invoices must be paid in full by the due date. Late payments may incur interest of 2% per month or the maximum permitted by law.
• You may not withhold payments due to disputes or set-off unless agreed in writing.
4. Delivery & Risk
• Delivery dates are estimates and not guarantees. We are not liable for delays caused by third parties, shipping disruptions, or force majeure events.
• Risk in the Products passes to you upon delivery. Title passes only once full payment has been received.
• Where applicable, you are responsible for inspecting the Products upon delivery and reporting damage or defects within 5 working days.
5. Software Services
5.1 Subscription & Access
• Our Software services are provided under a subscription, which may be a monthly or annual rolling contract.
• You are granted a non-exclusive, non-transferable license to use the Software in accordance with the applicable plan and scope.
• You must not share access credentials or permit unauthorized access.
5.2 Service Levels
We aim for a best possible uptime guarantee, excluding planned maintenance or events beyond our control.
• Maintenance windows will be communicated in advance where possible.
• Software support is provided Monday to Friday, 9:00–17:00 GMT, excluding Irish public holidays.
5.3 Data & Privacy
• We process your data in accordance with our Privacy Policy.
• You retain ownership of your data; however, we may use anonymized data for analytics, performance improvements, or diagnostics.
5.4 Termination of Software
• Either party may terminate with 30 days’ written notice outside of contract periods
• We reserve the right to suspend or terminate access for non-payment, misuse, or breach of these Terms.
6. Installation & Services
6.1 Installation
• Installation services require prior booking and site readiness, including access to power supply and ground conditions.
• If installation cannot be completed due to site issues or absence, additional charges may apply for rescheduling.
6.2 Planned Preventative Maintenance (PPM)
• PPM contracts include scheduled maintenance visits (e.g., quarterly or annually) and remote diagnostics where applicable.
• You must grant access to your site and provide any required information.
• Missed or delayed maintenance appointments due to your actions may forfeit that visit or incur rescheduling fees.
6.3 Service Limitations
• We are not responsible for issues arising from third-party products or unauthorised alterations to hardware or software.
7. Warranty
7.1 Hardware Warranty
• All Products are covered by a 24-month warranty from delivery date.
• Warranty excludes damage due to misuse, vandalism, lightning strikes, surges, or improper installation by non-approved parties.
7.2 Software Warranty
• We warrant that our Software will materially perform as described. Minor bugs or interruptions do not constitute breach.
7.3 Services Warranty
• Services will be performed with reasonable skill and care, using qualified personnel.
• Warranty for Services is 30 days from date of performance.
8. Returns & Defects
8.1 Notification
• Defects must be reported within 5 working days of discovery.
• Return authorization must be obtained prior to sending goods back.
8.2 Remedies
At our discretion, we will:
• Repair the Product;
• Replace the Product;
• Re-perform the Service;
• Provide a credit or refund.
Returned items must be in suitable condition for assessment. We reserve the right to reject claims arising from misuse or unauthorized repair.
9. Subcontractors
• We may use qualified subcontractors to deliver Services or Products.
• Subcontractors are bound by the same obligations, and they are fully responsible for their own performance.
10. Intellectual Property
10.1 Ownership
• All intellectual property, including logos, documentation, designs, and software code, remains the sole property of eStation or its licensors.
• You may not copy, modify, reverse-engineer, or resell any part of our Products or Software.
10.2 Infringement
• If you believe our Products or Software infringe third-party rights, you must notify us immediately. We will, at our discretion, modify or replace infringing material or obtain licenses.
11. Indemnity & Liability
11.1 Indemnity
You agree to indemnify and hold harmless eStation against claims, damages, or expenses arising from:
• Your misuse of the Products or Software;
• Breach of these Terms;
• Use in violation of laws or third-party rights.
11.2 Liability Limitations
• Our total liability, whether in contract, tort, or otherwise, is limited to the amount you paid for the relevant Product or Service.
• We are not liable for indirect, incidental, special, or consequential damages.
12. Insurance
• eStation maintains public liability and professional indemnity insurance.
• For larger commercial projects, we may request that clients carry suitable property or site insurance.
13. Inspection & Audit
• We reserve the right to inspect installations or audit service delivery.
• Business clients agree to cooperate with reasonable inspection requests, including access to relevant documentation or system logs.
14. Compliance & Ethical Use
You agree to:
• Use our Products and Services in compliance with all applicable laws;
• Not engage in or facilitate bribery, corruption, or illegal conduct;
• Adhere to fair competition practices;
• Not export or re-export our Products or Software in breach of international sanctions or trade laws.
15. Force Majeure
We are not liable for any delay or failure caused by events beyond our reasonable control, including but not limited to: natural disasters, strikes, government restrictions, supply chain failures, or cyber-attacks.
16. Confidentiality
• Any confidential or proprietary information disclosed shall be treated as confidential by the receiving party.
• This obligation continues for 3 years post-termination.
17. Termination
17.1 Termination for Cause
We may terminate your agreement immediately if:
• You materially breach these Terms and fail to remedy within 14 days;
• You become insolvent or enter bankruptcy;
• You misuse our intellectual property.
17.2 Termination for Convenience
Either party may terminate a Service or Software agreement with 30 days’ written notice.
• You will be responsible for payment of all services rendered up to the termination date.
• Subscriptions are non-refundable once the billing period has started.
18. Publicity & Use of Branding
You may not use eStation’s name, logo, or refer to our relationship in marketing materials, press releases, or case studies without prior written consent.
19. Entire Agreement & Amendments
These Terms, along with any order confirmations or separate written agreements, represent the entire agreement between the parties. No amendment or waiver is valid unless in writing and signed by both parties.
20. Governing Law & Dispute Resolution
• These Terms are governed by the laws of Ireland.
• All disputes shall be resolved in the courts of Ireland.
• We reserve the right to seek injunctive relief in any jurisdiction for intellectual property or misuse breaches.
